1. Agreement to Terms
By accessing, downloading, or using Spline ("the App"), operated by KNH Group ("we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the App.
These Terms constitute a legally binding agreement between you and KNH Group. Please read them carefully before using our services.
2. Description of Service
Spline is a mobile application that enables users to:
- Split bills and shared expenses with friends
- Create and manage group expense events
- Track who owes what within your social circle
- Maintain a digital wallet for seamless transactions
- Send and receive payments between users
- Connect bank accounts and payment methods for deposits and withdrawals
Spline is designed to simplify expense sharing and is not a bank, financial institution, or money transmitter. We facilitate the tracking and settlement of debts between users through our integrated payment processing partners.
3. Eligibility and Account Registration
3.1 Age Requirement
You must be at least 18 years of age to create an account and use Spline. By registering, you confirm that you meet this age requirement.
3.2 Account Information
When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials confidential and secure
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
3.3 Identity Verification
To comply with Anti-Money Laundering (AML) regulations and financial services requirements, we may require you to verify your identity before accessing certain features, particularly those involving monetary transactions. This may include providing government-issued identification or other verification documentation.
4. Payment Services
4.1 Payment Processing
The App integrates with Stripe, a PCI DSS Level 1 certified payment processor, to facilitate financial transactions. By using payment features, you:
- Authorize KNH Group to initiate transactions on your behalf through Stripe
- Agree to comply with Stripe's terms of service and acceptable use policies
- Acknowledge that payment processing is subject to Stripe's security and compliance standards
4.2 Spline Wallet
Important: Funds in your Spline wallet represent a balance held in our operational accounts. Your wallet balance:
- Is not a deposit account and is not insured by any government deposit insurance scheme
- May be used for in-app transactions and transfers to other Spline users
- Can be withdrawn to your linked bank account, subject to processing times
4.3 Transaction Records
In-app transfers between users are recorded as ledger entries. These entries reflect debts and credits between users and are settled when funds are transferred through our payment systems.
4.4 Fees and Charges
Basic features of the App are free to use. However:
- Certain transactions may incur processing fees as disclosed at the time of transaction
- Your bank or card issuer may charge additional fees for transactions
- We reserve the right to modify our fee structure with at least 30 days' notice
All applicable fees will be clearly displayed before you confirm any transaction.
5. User Conduct and Prohibited Activities
You agree not to use the App to:
- Violate any applicable laws, regulations, or these Terms
- Engage in fraudulent, deceptive, or misleading activities
- Launder money or finance illegal activities
- Harass, abuse, threaten, or intimidate other users
- Attempt to gain unauthorized access to other accounts or our systems
- Transmit viruses, malware, or other harmful code
- Interfere with the proper operation of the App
- Create multiple accounts or false identities
- Use the App for commercial purposes without our written consent
- Reverse engineer, decompile, or attempt to extract source code
Warning: Violation of these terms, particularly those related to fraud or illegal activities, will result in immediate account termination and may be reported to relevant authorities.
6. Anti-Money Laundering (AML) Compliance
As a financial services application, we are committed to preventing money laundering and terrorist financing. We:
- Monitor transactions for suspicious activities
- May require additional verification for certain transactions
- Reserve the right to delay, freeze, or refuse transactions that appear suspicious
- Report suspicious activities to relevant authorities as required by law
- Comply with all applicable AML laws and regulations in New Zealand
By using the App, you agree to cooperate with any AML-related requests and understand that failure to do so may result in account restrictions or termination.
7. Disputes Between Users
7.1 User-to-User Disputes
Spline facilitates expense tracking and payment between users. Disputes arising from underlying transactions (e.g., disagreements about expense amounts, services rendered, or goods purchased) are between the users involved. KNH Group is not responsible for resolving such disputes but may provide transaction records upon request.
7.2 Transaction Disputes
If you believe a transaction was made in error or without your authorization:
- Contact us immediately at admin@spline.nz
- Provide details of the disputed transaction
- We will investigate and respond within 10 business days
7.3 Refund Policy
Transfers between Spline users are generally final and non-refundable. Refunds may be considered in cases of:
- Technical errors resulting in incorrect transactions
- Unauthorized transactions (subject to investigation)
- Duplicate charges
Refund requests must be submitted within 60 days of the transaction date.
8. Intellectual Property
All content, features, and functionality of the App, including but not limited to:
- Text, graphics, logos, and icons
- Software, code, and algorithms
- User interface design and layout
- Trademarks and service marks
are the exclusive property of KNH Group and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
9. Limitation of Liability
To the maximum extent permitted by New Zealand law:
- KNH Group provides the App on an "as is" and "as available" basis without warranties of any kind
- We do not guarantee uninterrupted, secure, or error-free operation
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for loss of profits, data, goodwill, or other intangible losses
- We are not responsible for actions of third-party payment processors
- Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim, or NZD $500, whichever is greater
Some jurisdictions do not allow limitations on implied warranties or liability, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless KNH Group, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your use or misuse of the App
- Your violation of these Terms
- Your violation of any rights of third parties
- Your violation of any applicable laws or regulations
11. Account Termination
11.1 Termination by You
You may close your account at any time by contacting us at admin@spline.nz. Before closing your account, you must:
- Settle any outstanding debts with other users
- Withdraw any remaining wallet balance
11.2 Termination by Us
KNH Group reserves the right to suspend or terminate your account at any time for:
- Violation of these Terms
- Fraudulent, suspicious, or illegal activity
- Failure to complete required identity verification
- Extended period of inactivity (12 months or more)
- Request by law enforcement or regulatory authorities
- Any other reason at our reasonable discretion
11.3 Effect of Termination
Upon termination:
- Your access to the App will be immediately revoked
- Any outstanding wallet balance will be returned within 30 business days
- Transaction records will be retained as required by law
- Provisions that should survive termination (including liability, indemnification, and dispute resolution) will remain in effect
12. Dispute Resolution
12.1 Informal Resolution
Before initiating formal proceedings, you agree to first contact us at admin@spline.nz to attempt to resolve the dispute informally. We will make good faith efforts to resolve any dispute within 30 days.
12.2 Arbitration
If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in New Zealand under the Arbitration Act 1996. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties.
12.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13. Changes to Terms
We may update these Terms from time to time. When we make changes:
- We will update the "Last updated" date at the top of this page
- For material changes, we will notify you through the App or via email
- Your continued use of the App after changes are posted constitutes acceptance
- If you disagree with the changes, you must stop using the App and close your account
14. General Provisions
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.
14.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.3 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and KNH Group regarding the use of the App.
14.4 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
14.5 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.
